Terms of Service

These Terms of Service ("Terms") govern your use of the Tapeo platform, website, and services (collectively, the "Service"), operated by Tapeo ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Tapeo provides a digital QR menu and restaurant management platform that allows restaurants to create, manage, and display menus, process orders, and handle payments through third-party providers. We act exclusively as a technology service provider. The restaurant ("Merchant") is solely responsible for its own business operations, including order fulfilment, pricing compliance, and alcohol service laws.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must provide accurate, current, and complete information, including your name, email address, and optionally your phone number. You may also upload a photo of your restaurant. Each account may have one registered merchant only.

4. Subscriptions and Payments

Free Trial: New accounts receive a 30-day free trial with full access to Pro features. At the end of the trial, accounts revert to the Free plan unless upgraded. Pro Plan: €49/month (or local equivalent) including staff management, table management, and direct Redsys payment processing (0% platform fee). All fees are non-refundable except as required by applicable law. We may change our fees with 30 days' notice.

5. Merchant Content and Responsibility

You retain ownership of all content you upload, including restaurant photos, logos, and menu images. You grant us a non-exclusive, worldwide, royalty-free license to host, display, and transmit your content solely to provide the Service. You represent that your content does not violate any third-party rights. As the data controller for your customers' personal data, you are responsible for obtaining all necessary consents and providing adequate privacy notices.

6. Prohibited Uses

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access; interfere with the proper functioning of the Service; upload malicious code; use the Service to infringe on intellectual property rights; or use the Service to sell products or services not offered by your establishment.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Tapeo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability is limited to the total fees paid by you in the 12 months preceding the claim. This limitation does not apply to liability for death, personal injury, fraud, or gross negligence.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee the availability or uptime of the Service beyond reasonable commercial efforts.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms. Upon termination, your access to the Service ceases immediately. You may terminate your account at any time from your settings page. Upon termination, we will delete your data within 90 days unless retention is required by law.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Material changes will be notified by email. Continued use after changes constitute acceptance.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be submitted to the courts of Madrid, Spain. If you are a consumer resident in the EU, you may also bring claims in your country of residence.

12. Right of Withdrawal (Consumers)

In accordance with EU Directive 2011/83/EU, consumers resident in the EU have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract is concluded. To exercise this right, you must inform us by email before the expiry of the withdrawal period. If you request the Service to begin during the withdrawal period, you acknowledge that you lose the withdrawal right once the Service is fully performed.
